Toromont is committed to upholding the highest standards of ethics in our relationships with customers, employees, suppliers, shareholders, regulators and the business communities we serve.

To support this commitment, Toromont has for a number of years maintained a Code of Business Conduct and has encouraged an open dialogue on this issue throughout the organization.

The Code of Business Conduct (the "Code") is reviewed annually and updated or amended as appropriate. Revisions have recently been made to the Code to meet new Canadian Corporate Governance requirements and to reflect best practices. You will have an opportunity to review the revised Code with your supervisor or Human Resources department, following which you will be asked to sign the acknowledgement form confirming your compliance with the Code. Instructions regarding how to execute the Code will be forwarded separately. Acknowledgement and compliance of the Code of Conduct is a condition of continued employment.

To reinforce our support for a highly ethical culture, we have established a Compliance Hotline. This will provide another way to address matters that might not be adequately resolved at the local level and, in general, provide a way to report a concern in a confidential manner. Matters that may be referred to the Compliance Hotline include violations of the Company's Code of Business Conduct and any concerns regarding accounting, internal accounting controls or auditing matter.

The Compliance Hotline is managed by an independent third party and is available 24 hours a day, 7 days a week, 365 days a year. You can reach the Hotline in a variety of ways:

  • Email your concern to
  • Visit for an on-line reporting form.

Concerns may be raised anonymously if so desired, and cannot be traced. Your concern will be forwarded directly to the Company's General Counsel, who will take appropriate action. Arrangements can be made to receive information about the Company's response to your concern. More information about the Compliance Hotline will be provided to you in conjunction with the revised Code of Business Conduct and on your local bulletin boards. While the Compliance Hotline is one vehicle to raise your concerns, the Company considers this the method of last resort. Our preference is to continue an open and honest culture in which everyone feels comfortable to raise their questions and concerns secure in knowing they will be handled respectfully and without reproach.
